We are looking for a Legal Affairs Specialist to join our dynamic Legal Department at Industrie De Nora, located in Milano. The successful candidate  will operate within the Group's legal and corporate functions, providing support for the legal, corporate, and compliance activities of the Group's Italian companies, for the activities related to the management and coordination of the Group's foreign companies, and supporting the Legal Affairs Manager in fulfilling the legal requirements for Italian issuers, as well as the regulations and codes of conduct adopted by Borsa Italiana S.p.A.

Key Responsibilities:

  • Support the preparation and recording of minutes of meetings (Board of Directors, Board of Statutory Auditors, Board Committees, and Shareholders' Meetings) of the Group's Italian companies;
  • Oversee the corporate management of the Group's Italian companies: corporate books, powers of attorney, company records, and compliance with the Company Register;
  • Contribute to the management and coordination of the Group's foreign companies (receiving and analyzing information, managing the Group's repository, coordinating with local counsel);
  • Contribute to the preparation of reporting and regulated documentation required of a listed company (price-sensitive communications, corporate governance report, remuneration report, financial and non-financial reporting, regulated information);
  • Support the Legal Affairs Manager in managing activities related to Consob, Borsa Italiana, and market abuse regulations, in coordination with Investor Relations, including updating and maintaining the required registers regarding management and monitoring of inside information; and internal dealing;
  • Manage obligations related to significant shareholdings and shareholders' agreements under the Company's jurisdiction.

Educational background and work experiences:

Master's Degree in Law

Fluent in English

At least 2-5 years of experience in:

  • Drafting corporate documentation (such as, but not limited to, bylaws, minutes of meetings of the board of directors and its committees; notices of meeting calls, meeting drafts, committee regulations and procedures).
  • Managing paperwork and compliance with the Company Register (filings, corporate procedures, registrations, updates).
  • Compliance with primary and secondary regulations for companies with shares listed on regulated markets organized and managed by Borsa Italiana S.p.A.
